THE RULES

1. DESCRIPTION OF THE CONTEST:
   The Community Participation Contest is designed to (1) encourage and inspire designers to begin participating in the DesignersCouch community, (2) help DesignersCouch members identify and bring in new contributors, and (3) provide members interested in design with exposure to real-world design creation, including photography, traditional art, film and design community involvement. DesignersCouch will provide a list of Activities that participants can attempt to engage in. Judges will choose a winner in accordance with these Official Rules and the prize will be awarded to eligible winning participants.
   
   
2. SPONSOR:
   The Contest is sponsored by Depthskins LLC, a US LLC Company with principal place of business at 838 Augusta Dr., Houston, Texas, USA, 77507 and 838 Augusta Dr., Houston, Texas, USA, 77507 and My M Fruit LLC d.b.a. mberry, 681 W Wildhorse Dr., Chandler, Arizona, USA, 85248.
   
   
3. BINDING AGREEMENT:
   In order to enter the Contest, you must agree to these Official Rules ("Rules"). Therefore, please read these Rules prior to entry to ensure you understand and agree. You agree that participation in the Contest constitutes agreement to these Rules. You may not participate in the Contest and are not eligible to receive the prizes described in these Rules unless you agree to these Rules. These Rules form a binding legal agreement between you and DesignersCouch with respect to the Contest.
   
   
4. ELIGIBILITY:
   Contest open to Designers who are at least thirteen (13) years old as of January 9, 2009 except employees (and their immediate families and members of the same household) of DesignersCouch, its affiliates and its agents. You must demonstrate the consent of a parent or legal guardian in order to be eligible to receive any prizes as well as written proof of age. The Contest is not open to residents of Cuba, Iran, Syria, North Korea, Sudan, Myanmar (Burma), or to other individuals restricted by U.S. export controls and sanctions, and is void in any other nation, state, or province where prohibited or restricted by U.S. or local law. You must have access to the Internet and either have or sign up for a free DC Account in order to enter. There is no charge for a DesignersCouch “free membership” and a “subscription membership” is not required to enter this contest. Void where prohibited.
   
   
5. CONTEST PERIOD:
   The Contest begins at 12:00:00 A.M. Pacific Time (PT) Zone in the United States on September 18th, 2009 and ends at 11:59:59 P.M. PT on October 18th, 2009 (“Contest Period”). You are responsible for determining the corresponding time zone in your respective locations.
   
   
6. HOW TO ENTER:
   You must be a member of DesignersCouch ("Contest Site") to participate in the Contest. Free membership to the site is available but membership application must be approved. If participant is already a registered member of the contest site, participant is automatically entered into the contest. All participants must follow the 'how to win' list of activities to have a chance at winning.
   
   Apply for Membership: In order to participate in this contest you must apply for membership at designerscouch.org/apply.html. Membership is free but must first be approved. If you don't get approved you will NOT be able to participate. If you are approved you instantly earn 10 points and are on your way.
   
   
7. HOW YOU CAN WIN:
   
   a. Approved Membership: Your application to DesignersCouch must be approved in order to participate.
   
   b. Submit Designs: During your application, you're asked to submit your best designs which is used to approve your account. Once membership is approved you earn 35 points, 10 for just being approved and 25 for the 5 designs you submitted.
   
   c. Give Critiques: Voice your opinion on designs in the community. We want our members to give thoughtful critiques and encourage discussion related to the design. Each Critique is worth 10 pts and Expert Critique is worth 20 points.
   
   d. Start Discussions: Get involved in discussions on DC. We offer a great place to exchange ideas and give advice. Every discussion started is worth 5 points while responding to discussion topic is worth 3 points.
   
   e. Submit Collaboration: Collaborations let you work with fellow members on DC. Just post your project and await applications from the community. It's also the quickest way to get lots of points in one go. Each approved collaboration is worth 50 points.
   
   f. Submit Events: Heard about a great design event? Share it with the DC community and earn 2 points.
   
   g. Submit Comments: Share your thoughts on what's happening on the site and watch the points stack up. There are lots of places you can leave your comments, like on Blog and Article posts. Each comment is worth 1 point.
   
   
8. JUDGING:
   
   Each participant will be judged by a panel of experts associated with DesignersCouch. Each participant determined by the judges to have successfully completed the relevant Instructions (i.e., meeting all stated requirements) will be deemed a Successful Candidate.
   
   Having the highest amount of points does NOT determine whether you win but rather the quality of your activities. If a participant wishes to challenge panel’s determination as to whether or not participant should qualify as a Successful Candidate, he/she must do so through emailing info@DesignersCouch.org.
   
   In this event, DesignersCouch will reexamine the relevant Entry and make a final determination, in its sole discretion, as to whether the participant should be classified as a Successful Candidate. The decision of DesignersCouch in this matter is final and binding.
   
   DesignersCouch’s panel will judge each Entry according to the following equally weighted factors: (1) Creativity, (2) Thoroughness, (3) Quality of Work, and (4) Community Involvement (5) Quality of Activities. Each member of the panel will then determine the participant with the highest overall score for Completed Tasks set by that Organization (Grand Prize Winner).
   
   In the event of a tie, the participant among the tied participants with the highest score in Quality of Work will be declared the Grand Prize Winner. In the event that more than one panel member selects the same participant as their Grand Prize Winner, all panel members but the first to declare that participant its Grand Prize Winner to DesignersCouch shall choose their next highest scoring eligible participant from their respective pools as their Grand Prize Winner.
   
   In the event a potential Grand Prize Winner is disqualified for any reason, the eligible participant with the next highest total score in the pool of participants who have submitted completed Entries will be chosen as the Grand Prize Winner. In the event that there are no Successful Candidates, no prize will be awarded. Determinations of judges are final and binding. Winners will be notified by email and a list of winners will be posted on the Main Contest Page on or before October 20th, 2009 for a period of at least 60 days.
   
   
9. PRIZE FOR THE MOST COMPLETED ENTRIES:
   
   One eligible participant judged to be the best overall entrant by the participating DC panel (“Grand Prize Winner”) will receive an 15" Apple Macbook Pro with an approximate value $1699 USD (on thousand five hundred U.S. dollars). The winning participant will have submitted the most number of Successfully Completed Tasks based on each Task’s point value. participants may complete as many Tasks as they choose but only one eligible participant will receive the Grand Prize.
   
   
10. TAXES:
    
    PAYMENT TO THE POTENTIAL WINNER IS SUBJECT TO THE EXPRESS REQUIREMENT THAT THEY SUBMIT TO DesignersCouch ALL DOCUMENTATION REQUESTED BY DesignersCouch TO PERMIT IT TO COMPLY WITH ALL APPLICABLE US, STATE, LOCAL AND FOREIGN (INCLUDING PROVINCIAL) TAX REPORTING AND WITHHOLDING REQUIREMENTS. ALL PRIZES WILL BE NET OF ANY TAXES DesignersCouch IS REQUIRED BY LAW TO WITHHOLD. ALL TAXES IMPOSED ON PRIZES ARE THE SOLE
    RESPONSIBILITY OF THE WINNERS. In order to receive a prize, potential winners must submit the tax documentation requested by DesignersCouch or otherwise required by applicable law, to DesignersCouch or the relevant tax authority, all as determined by applicable law, including, where relevant, the law of the potential winner’s country of residence. The potential winner and his/her parent or legal guardian are responsible for ensuring that (s)he complies with all the applicable tax laws and filing requirements. If a potential winner fails to provide such documentation or comply with such laws, the prize may be forfeited and DesignersCouch may, in its sole discretion, select an alternative potential winner.
    
    
11. GENERAL CONDITIONS: DesignersCouch reserves the right to substitute an alternate prize of equal or greater value in the event all or part of a prize set forth above becomes unavailable. Prizes are awarded without warranty of any kind from DesignersCouch, express or implied, without limitation, except where this would be contrary to federal, state, provincial, or local laws or regulations. All federal, state, provincial and local laws and regulations apply. Submission of an Entry in this Contest constitutes agreement by the participant to the terms and conditions of these Rules.
    
    Shipping arrangements and additional costs are the sole responsibility of winner. All expenses and incidental costs not expressly stated in the preceding prize description, including but not limited to, license fees, registration fees, insurance fees, taxes or other expenses are the responsibility solely of winner.
    
    Decisions of DesignersCouch and the Judges are final and binding on all matters pertaining to this Contest. Return of any prize/prize notification may result in disqualification and selection of an alternate winner. Any potential winner who cannot be contacted by email within 15 days of attempted first notification will forfeit his/her prize. Potential prize winner(s) and their parents/legal guardians may be required to sign and return an Affidavit or Declaration of Eligibility, and Liability/Publicity Release within 30 days following the date of first attempted notification.
    
    Failure to comply within this time period may result in disqualification and selection of an alternate winner. DesignersCouch reserves the right to disqualify any participant from the Contest if, in DesignersCouch’s sole discretion, it reasonably believes that the participant has attempted to undermine the legitimate operation of the Contest by cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses any other participants, DesignersCouch, the Judges, or participating panel members. Please allow six (6) weeks from the Contest closing date for winners to be selected and prizes to be awarded.
    
    
12. VERIFICATION OF WINNERS AND DELIVERY OF PRIZES:
    The potential winner who is under the age of majority in their jurisdiction of residence and their parent or legal guardian will, and other potential winners will be required to sign a transfer of rights to DesignersCouch that conforms with these Official Rules and may be required to sign an affidavit of eligibility and liability release and, where permitted, a publicity release. Prize may be forfeited if transfer documents, affidavit or releases are not returned within 10 days after mailing to potential winner or if prize notification letter or prize is returned as undeliverable or if a winner cannot be reached after a reasonable attempt has been made by DesignersCouch (as determined by DesignersCouch in its sole discretion). Winner agrees to DesignersCouch's use of his/her name, address, likeness, and/or prize information for promotional purposes in any medium without additional compensation to the extent permitted by law.
    
    
13. GENERAL:
    This Contest is void where prohibited or restricted by law and is subject to all applicable federal, state and local laws and regulations. This Contest will be governed by the internal laws of the State of Texas. Any and all legal actions or claims arising in connection with this Contest must be brought in a court of competent jurisdiction within the State of Texas.
    
    DesignersCouch and judges are NOT responsible for late, lost, stolen, damaged, garbled, incomplete, misaddressed, postage due, incorrect or misdirected entries, mail or communications, for errors, omissions, interruptions, deletions, defects, or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of computer hardware, software, communications devices, or transmission lines or data corruption, theft, destruction, unauthorized access to or alteration of entry materials, loss or otherwise.
    
    DesignersCouch and judges are NOT responsible for electronic communications which are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in Entrant’s e-mail account to receive e-mail messages. DesignersCouch disclaims any liability for damage to any computer system resulting from participation in, or accessing, posting, uploading or downloading information in connection with, this Contest, and reserves the right, in its sole discretion, to modify, cancel, terminate or suspend this Contest should any virus, bug, technical failures, unauthorized human or alien intervention or other causes beyond DesignersCouch’s reasonable control corrupt or affect the administration, security, fairness or proper conduct of The Contest.
    
    In the event of any such cancellation, termination or suspension, a notice will be posted on The Contest Site and the winners will be selected from among all eligible entries received prior to such time. By participating in this Contest, each entrant accepts the conditions stated in these Official Rules, agrees to be bound by the decisions of the judges and warrants that she/he is eligible to participate in this Contest. By accepting a prize, winner agrees to release DesignersCouch, its directors, employees, officers, and agents, including without limitation, their advertising and promotion agencies, from any and all liability, loss or damages arising from or in connection with the awarding, receipt, and/or use or misuse of the prize or participation in any prize-related activities.
    
    
14. CAUTION:
    ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
    
    
15. WINNER LIST:
    Winner will be announced on or about October 30th, 2009 and will be chosen as a featured designer of DesignersCouch for the month of November and also interviewed.
